1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between Qawi ("Company," "we," "us," or "our") and the individual or business entity ("Subscriber," "Admin," "You") accessing or using the Qawi platform, web portals, and the Qawi Admin mobile software (collectively, the "Service").
By creating an account, logging in, or accessing any part of the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use immediately.
2. Enterprise B2B Scope & User Accounts
Qawi Admin is a dedicated B2B software tool for authorized gym owners, club managers, branch administrators, and fitness staff.
You agree to provide accurate, complete, and updated registration details. You are solely responsible for maintaining the confidentiality of your credentials and for all activities occurring under your administrative account.
Club Owners and Gym Owners are responsible for the actions, access tiers, and permissions granted to their invited managers, staff, and assigned trainers.
3. License Grant & Intellectual Property
Limited License: Subject to active subscription compliance, Qawi grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and utilize the Qawi Admin software solely for your internal gym business operations.
Proprietary Rights: All trademarks, logos, system software, user interface designs, database schemas, code, and content libraries (including Qawi's guided exercise repository) remain the exclusive intellectual property of Qawi and its licensors.
- Reverse engineer, decompile, disassemble, or derive source code from the Service.
- Resell, rent, lease, sub-license, or redistribute platform access to unauthorized third parties.
- Interfere with or compromise network integrity, API endpoints, or security mechanisms.
4. Subscriptions, Payments & Billing
SaaS subscriptions for gym facilities are billed on recurring monthly or annual cycles.
Subscriptions renew automatically unless canceled prior to the billing renewal date.
Subscribers are responsible for sales, use, or VAT taxes in their jurisdictions.
5. Client Data Ownership & Responsibilities
Ownership: The Subscriber retains all proprietary rights to member rosters, local attendance logs, and business financial records uploaded to the platform.
Compliance with Local Privacy Laws: When storing personal, biometric, or health-related data of your gym members and staff, your organization is responsible for securing necessary consent and complying with regional data privacy laws (e.g., GDPR, CCPA, local data protection regulations).
6. Service Availability & Maintenance
We strive to maintain a 99.9% platform uptime. However, service availability may be temporarily interrupted for scheduled maintenance, infrastructure upgrades, or circumstances beyond our reasonable control (force majeure). We reserve the right to modify, enhance, or deprecate specific features with reasonable notice.
7. Limitation of Liability & Warranty Disclaimer
To the maximum extent permitted by law, Qawi shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of business profits, data corruption, or operational interruptions.
Qawi’s aggregate liability arising out of or related to your use of the Service shall not exceed the total subscription fees paid by your organization to Qawi during the twelve (12) months preceding the claim.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
8. Termination
We reserve the right to suspend or terminate access immediately in the event of material breach of these Terms, unauthorized security testing, fraudulent activity, or non-payment of SaaS subscription fees. Upon termination, your right to use the software ceases, and data retention/deletion rules will apply in accordance with our Privacy Policy.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws applicable to Qawi’s primary place of corporate registration, without regard to conflict of law principles. Any disputes shall be resolved through good-faith mutual negotiation or binding arbitration in the registered jurisdiction.
